| Business attorneys in this practice group assist clients in the formation and operation of corporations, limited partnerships, limited liability partnerships and other business entities; prepare profit-sharing, pension and other employee benefit plans; assist clients in addressing the opportunities and challenges faced by an ongoing business; provide advice regarding transactions governed by the Uniform Commercial Code; and assist in mergers, acquisitions, dissolutions, asset purchases and financings. In addition to these matters, the firm’s corporate attorneys frequently work together with its real estate attorneys with structuring, drafting and closing real estate transactions which are structured as corporate mergers or stock transfers.
The firm’s Bankruptcy Practice covers all aspects of creditor-debtor relationships ranging from foreclosure, receivership, collection and enforcement of judgments in state and federal court to reorganization and liquidation in bankruptcy court. Our experience in this area includes representation of Chapter 11 debtors such as Liberty House, Crazy Shirts, Amfac Hawaii and Oahu Construction Company and creditors committees in Thrifty Rent-A-Car and H & W Foods. The firm also represents secured creditors and landlords in all aspects of bankruptcy proceedings. The firm has a team of creditor counsel experienced in negotiating workouts and restructurings outside of bankruptcy court.
The estate planning, probate and taxation attorneys represent a broad spectrum of clients, from small businesses, families and individuals to banks and trust companies. Drawing upon its experience in the laws of income, gift, estate, partnerships, corporations, and other business entities, the goal of the practice group is to design and implement comprehensive business and estate plans and analyze and structure a variety of sophisticated transactions that are designed to fit the client's particular circumstances and concerns. While its work is tax-motivated, the firm also works to ensure that the business and estate plans it creates are flexible and adaptable to provide for and respond to shifting and unforeseen situations. |
